Introduction
Starting a business entails having adequate funds and a well-planned procedure on how to execute the business idea. There exist various forms of marketing from which individuals can choose from depending on the capital at hand and the operational level required for the business. These forms include sole proprietorship, partnership, Public Limited Company, private limited Company, and joint ventures. Having an appropriate procedure for startup and naming the business is critical in enhancing the success of the market both in the short term and long run.
Form of Business Appropriate for Shania and the Reason for the Recommendation
Shania, by having capital support from her husband and being that she will be the one to run most operations of the coffeehouse, means that that the Sole proprietorship form of organization will be the most appropriate for her. For a business starting with limited funds, this form of the transaction will be ideal for expansion. Through this, Shania will be able to monitor how the market is doing jointly. This personalized attention is critical in enhancing the growth of the market as the decisions made by Shania will be quicker and will not require much bureaucracy to decide. Being the only owner means that Shania will enjoy all the profit that originates from the operation of the coffeehouse, and this can be plowed back for the expansion of the business.
Additionally, this business form will allow Shania to change to other types once the circumstances change, and there is a need to do so to enhance the efficiency of operation. Starting up need a business needs freedom in terms of not being pushed around, and by this form, Shania will highly enjoy the benefit of being her boss and learn how to make decisions in preparation for future opportunities should the circumstances change. Circumstances can adjust to the worst, and this might call for the shutdown of the business. In other forms such as corporations, the Company might be auctioned due to its massive debt, but this is not the case in the sole proprietorship firm. Shania can easily decide to close down the restaurant and shift attention to something else.
Whether the Company Should Become Franchise or Independent Coffee House
A franchise entails having a license that allows a business to have and use a proprietary knowledge, trademark, and processes granted by the franchisor. Investing in a franchise involves an already established business, and getting into the venture requires a high initial investment, which Shania might not be having. The high investment is mainly linked with the already established market and infrastructure for the business to keep going on. An independent company will enhance the creativity of the owner, and that is what Shania needs to get a grip on the market. Through creativity, better ideas of running a business are invented rather than just relying on an already formed procedure that one might not like. By having the franchise, the market will be relying on the parent company for directions together with the operating system, and this means that the privacy level of the market will be in jeopardy. By having an independent business, Shania will be able to keep the most secret related to the business dealings.
Additionally, having the franchise will mean that the profit of the business is reduced since, at the initial stages, Shania will have to pay some royalties and initial fees. Having an independent sole proprietary company means that Shania will be enjoying the profits alone. Also, it not a 100% guarantee that the business will be successful despite the high initial investment.
Corporate Name Search of "The Gathering Place," Whether it is Available as a Trademark
Upon conducting the business name search in the State of Colorado, a decisive match was found. The business with a similar name is a nonprofit corporation situated in Colorado and operates within the same jurisdiction that Shania intends to put up the coffeehouse. This, however, does not deter Shania from using the name, and she should proceed to use the name as a trademark. The justification herein is that the Company in existence is a nonprofit making organization meaning there is no competition with the business Shania intends to put up.
Trademark is mainly designed to avoid unhealthy competition within an industry, at the same time, avoid confusion that might arise among the consumers, prevent the exploitation of names that have been earned hard through intense efforts. The name chosen by Shania is the right choice since it relates to how people come together to share a common thing, and in this case, a cup of coffee. The name is striking quite well with Shania's intended purpose; hence, she should stick to the name and carry on with the rest of the procedure to ensure the business starts operating.
Interested Persons That Shania Should Include in Her Business and Their Roles
Shania needs to have additional people to help out with the operations of the business. Her neighbor, Carlos, should be involved in the actions of the Company; he has expressed a great desire to participate in the Company. Carlos should be made the general manager due to the proximity to Shania. This is so since the conflict of interest has to be on balance and well checked. Carlos is a non-believer, but this should not prevent Shania from giving her the job. From the biblical perspective, this is the right approach as the calls for equal treatment and helping those in need. By being working in the business, Carlos's faith and beliefs can change slowly and eventually become a believer. This will be possible through mutual trust between the two (Longenecker, McKinney, Moore, 2004).
When it comes to Kelsey, she should not be given the job, and Shania should give her a convincing reason. Biblically, Shania should not interfere with the marriage of Kelsey and her husband. Kelsey needs to obey her husband, and by taking the job, it will mean she is defying her husband's warning of not taking the responsibility. Should Shania give Kelsey the job, then that will be considered as being an aide in marriage fallout, which is entirely against the biblical teaching (Toews, 1992).
Conclusion
In conclusion, starting up a business is an elaborate process that should be followed keenly to avoid conflicts and ensure harmony within a given industry. Coming up with an appropriate name is key within an industry and regardless of the various forms of business. Additionally, one should keen chose the for the Company will take before committing by considering the financial strength in position. This is key in ensuring the efficient management and the ultimate continuity of the business.
