My business idea is the making of local soap and detergents using locally available natural resources. The nature of the business will be on a limited basis, where I will partner with several people who shall participate in the making, packaging, and marketing of the soap. The Business will be named Glory soap Limited. The capital contribution for the purchase of the ingredients such as the olive oil, lemon juice, abrasives and the soap making machine will be done by the members of the partnership, further. The filling for the certificate will be done to the NYS Secretary of state-Division of Corporations for the generation of a permit to run the limited.

Partnership and Property

There will be 20 members in the limited company divided into three groups namely, the managerial, marketing and production team. The managerial team of five members will be responsible for the oversight of the company. The managerial team shall have a treasurer, a secretary, and a manager, who shall serve for as many years as the company shall run. The marketing team of five people shall have a lead team marketer who shall facilitate the offline and online marketing of our detergents and ensure that a new market has been explored. The third group shall comprise the personnel at the workplace who shall mix the ingredients and ensure that a quality safe soap has been produced and packaged properly. The five members of the third group shall be entitled to a monthly 20% of the total amount of money remitted after the sales of the product at the end of the month. The marketing group shall earn from a commission earned daily. The marketing team shall be in charge of the online business accounts for marketing online (Chaffey, Hemphill & Edmundson,2019).while the rest of the money is divided among the managerial group equally after 12 months, according to the contributions given during the founding of the company.

Third Party Involvement and Their Liabilities

The third parties that can be involved in the business are the corporate customers who shall enter into a delivery contract with our company for a period of 6 months as per the guidelines of the constitution of the company. During this period, they are entitled to a quality soap delivered on time. They reserve the right to reject any order even after it has been paid, for any valid reason. The company shall be under the law and are partnering with the quality assurance teams(Coste.etal,2019). Government enforcement is allowed to at any time, check the quality of the product and any proposal concerning our workplace and provision of service shall be accepted by the management.

Dissolution of The Company

The company shall be dissolved upon the resignation of any member of the managerial position, after writing to the manager within 30 days before their resignation. In case the company lacks any funds to run its operation of making and supplying the soap products, there can be a meeting among the five members, where plans to dispose of the property of the company and settle any debt shall be discussed. The law and other stakeholders shall be notified of the dissolution two weeks before such a step can be taken.
